Proposed By_Law Changes

Officers

 

The officers of this organization shall be President, Vice President, Secretary, Treasurer, Membership Secretary, Trail Administrator, Trailmaster, Assistant Trailmaster and six Directors.

 

  ARTICLE VI

Elections of Officers

 

A.    The President, Vice President, Secretary, Treasurer, Membership Secretary, Trail Administrator, Trailmaster,  Assistant Trailmaster and two Directors shall be elected annually at the March meeting, beginning March 1977 to take office upon election.

 

B.     Members of the Board of Directors shall serve for three years. (At the March 1977 election, two (2) Directors will be elected for one (1) year, two (2) for two (2) years and two (2) for three (3) years.) Thereafter at each annual election two (2) Directors will be elected for three (3) year terms.

 

C.    The President shall appoint a Nomination Committee of three (3) no later than the February meeting. This committee shall present a slate of officers including two (2) Directors at the March meeting. Nominations shall be accepted from the floor and these nominations shall be added to the list of candidates being considered at the time of election.

 

D.    A majority of those present and voting will elect each office holder.

 

E.     The Chairperson of the Board of Directors shall be elected annually by the majority of the Board.

 

F.      Should any office become vacant during a term, the Board of Directors, by majority vote, will elect a successor for the unexpired term.

 

G.    In the event no member accepts nomination for any officers position of this organization through the procedures described in ARTICLE VI C, the President shall do the following:

 

1. Ask the present Officer holder to continue in his/her position until a successor is found and elected per ARTICLE VI F.

 

2. Appoint any member that will volunteer to fill the vacant officer position until a successor is found and elected per ARTICLE VI F.

 

3. If no nominations are accepted for one or more of the following officer positions, Trail Administrator, Trailmaster or Assistant Trailmaster, the President shall appoint and preside over a Trails Committee. This Trail Committee will be selected from those members that will volunteer to perform a portion of those task and duties needed for the clubs trails as described in ARTICLE II C.

 

 

ARTICLE VII

Duties of Officers

 

  1. President:  The President shall preside over and conduct meetings of the membership, appoint all committees and serve as an ex-officio member thereof.

 

  1. Vice President: The Vice President shall perform the duties of the President in the President's absence.

 

  1. Secretary:  The Secretary will keep accurate minutes of all meetings and notify the members in advance of all meetings.  In the absence of the President and the Vice President it is the Secretaries duty to call the meeting to order and to occupy the chair until a chairperson pro tem is elected.

 

  1. Treasurer:  The Treasurer shall receive all dues, , shall account for all moneys accruing to the organization.  The Treasurer shall pay all obligations as directed and keep a true and complete record of all financial transactions and make reports at all meetings.

 

  1. Membership Secretary:  The Membership Secretary will receive all membership applications, issue membership numbers and cards, keep an up-to-date record of members in good standings, supply NHSA with member list monthly and report a membership update at all meetings.

 

  1. Trail Administrator: The Trail Administrator is responsible for working with state agencies to procure Grant-In-Aid funds.  With the assistance of the Trailmaster and Assistant Trailmaster, the Trail Administrator will maintain the club trail maps and obtain landowner permission.

 

  1. Trailmaster:  The Trailmaster shall coordinate trails and seek assistance from club members in trail maintenance and marking.

 

  1. Assistant Trailmaster(s): The Assistant Trailmaster(s) shall assist with the duties of the Trailmaster and perform the duties of the Trailmaster in the Trailmaster  absence.

 

  1. Board of Directors: The Board of Directors shall act as a Steering Committee for the organization, carrying out the wishes of the membership.  The Board of Directors shall have a Chairperson who is elected from the membership of the Board. Each Director shall represent the wishes of the membership, keeping within the interest and purposes of the club.  All officers shall be voting members of the Board of Directors.

 

J.      Removal from Office: Any of the above named officers may by removed from the office for just cause by a vote of the majority of the Board of Directors.
